Lab to receive $1.2 million in new equipment

The current laboratory facility recently took possession of next-generation analytical equipment including the Orbitrap Exploris 120 Mass Spectrometer, a state-of-the-art high-resolution mass spectrometry instrument that supports research to optimize the cultivation, harvest and extraction of Psilocybe mushrooms and implement discovery of unknowns and interactions in several psychedelic botanicals in addition to mushrooms. Numinus Bioscience, which operates a state-of-the-art research lab in British Columbia, Canada , recently received amendments to its federal licence to allow the possession, production, assembly, sale, export, and delivery for a wide variety of psychedelics including – for the first time – Ketamine and Lysergic acid diethylamide (LSD). The amendment also supports Numinus Bioscience's role in these activities related to Mescaline, N,N-Dimethyltryptamine (DMT), N-Methyl-3,4, methylenedioxyamphetamine (MDMA), Psilocin and Psilocybin.

New amendments allow Numinus Bioscience to conduct all activities related to possession, production, sale, export, delivery and assembly for Psilocybe mushroom fruiting bodies, both whole ground and extracted, to stakeholders that possess a Section 56 exemption.

In addition, the new amendments allow Numinus Bioscience to increase the amount of Psilocin and Psilocybin produced at the lab from 505 grams to 1000 grams annually, consisting of 750 grams of Psilocybin and 250 grams of Psilocin. Health Canada has also acknowledged that the Company can continue to supply verified and validated Psilocybe mushroom spores and tissue culture that do not contain controlled substances to other licensed dealers and can be listed as a supplier. In coming quarters, Numinus Bioscience will prepare to offer the expanded suite of psychedelic products and services allowed by recent amendments.

Significant progress made as Numinus-sponsored PRIME study on psilocybin-assisted psychotherapy for opioid, stimulant and/or alcohol use disorders enters pre-implementation stage

Currently in the development stage, the PRIME study will assess the efficacy and safety of psilocybin-assisted motivational enhancement therapy.

The study will contribute to a growing body of research to inform larger randomized controlled trials for these indications. The study will take place in Vancouver and will enroll 30 individuals with opioid, stimulant and/or alcohol use disorders. The psilocybin administration will occur in the context of a behavioural intervention consisting of motivational enhancement therapy, which is a structured counseling approach based on principles of motivational psychology and is designed to produce rapid, internally motivated change.

Trial enters pre-implementation stage having met several key milestones towards expanding access to patients with PTSD

In November 2020 , eight Numinus therapists graduated from Part B of the MAPS MDMA therapist training program. Through their roles within the trial, they will complete the supervision requirement for certification as fully qualified MDMA therapists.

A draft MDMA-assisted therapy protocol for PTSD has been adapted for the trial, including clear guidance surrounding necessary screening processes, patient health histories, and indications and potential contraindications before accepting participants. Initial regulatory meetings with Health Canada to define the trial's implementation science strategy have been completed, and the next steps will include obtaining ethical and Health Canada approvals to allow the recruitment of participants according to COVID-19 public health protocols.

Centurion Minerals Ltd. (TSXV: CTN) (the "Company") is pleased to update shareholders on progress regarding previously announced plans that include:

distributing shares to its shareholders in a wholly owned subsidiary ("SpinCo") created to complete the previously announced, "HAI Beverage/CannaEden Group" cannabis transaction; and,

completing the required steps to enable the Company to resume trading in the near term, continuing as a mineral exploration issuer, and providing near term liquidity for shareholders.

The Company has entered into an arrangement agreement (the "Arrangement Agreement") with SpinCo pursuant to which the parties intend to complete a spinout transaction by way of a court approved plan of arrangement under the Business Corporations Act (British Columbia) (the "Arrangement"). Additionally, on June 24, 2022, the Company received an Interim Order from the Supreme Court of British Columbia (the "Court") regarding approval of the Arrangement. The Interim Order sets out the conditions that must be met to apply for a final order of the Court ("Final Order") approving the Arrangement and includes the holding of the Annual General and Special meeting (the "Meeting") of shareholders of the Company ("Shareholders") to approve the Arrangement.

Spin Out and Arrangement Details

The purpose of the Arrangement is to reorganize the Company and its assets and operations into two separate companies: the Company and SpinCo. The board of directors of the Company (the "Board") believes this will provide Shareholders with additional investment choices, and enhanced value as the Company and SpinCo will be solely focused on the pursuit and development of their respective business operations and assets.

Pursuant to the Arrangement Agreement, and in accordance with the plan of arrangement (the "Plan of Arrangement"), among other things:

Upon the Arrangement becoming effective, SpinCo will cease to be a wholly owned subsidiary of the Company and the Shareholders, as of the Share Distribution Date, will hold 100% of the outstanding SpinCo Shares.

Meeting Details The Meeting will be held on August 12, 2022, at 10:00 am (Vancouver time) at 10th Floor, 595 Howe St, Vancouver, BC V6C 2T5. In addition to consideration of the Arrangement, Shareholders will be asked to (i) fix the number of directors for the ensuing year at four; (ii) elect directors for the ensuing year; (iii) appoint Manning Elliott LLP, Chartered Accountants, as the Company's auditors for the ensuing fiscal year at a remuneration to be fixed by the Board; and (iv) approve the Company's new long-term incentive plan.

Only Shareholders of record at the close of business on June 28, 2022 (the "Record Date"), will be entitled to vote at the Meeting. The Arrangement is subject to shareholder approval of not less than 66 2/3 % of the votes cast at the Meeting.

Board of Director's Recommendation The Board approved the Arrangement, concluding that it is in the best interests of the Company and its Shareholders and recommends that Shareholders vote in favour of the Arrangement at the Meeting. Leading Canadian cannabis producer Aurora Cannabis (NASDAQ:ACB,TSX:ACB) confirmed it plans to let go of an undisclosed number of workers as part of its cost-cutting measures.

Meanwhile, another cannabis producer announced a purchase plan for assets belonging to a fellow producer that is currently struggling. Keep reading to find out more cannabis highlights from the past five days.

A report from the Canadian Press indicates that Aurora will lay off 12 percent of its workforce. A company spokesperson said the staff cuts will help the company save between C$70 million and C$90 million.

Aurora revealed its plans for continued cost-saving initiatives as part of its most recent quarterly results.

“Our plan is working and we remain firmly on track to achieving a positive Adjusted EBITDA run rate by the first half of fiscal 2023,” CEO Miguel Martin said.

At the time, Aurora said it expected to save on expenses by way of “asset consolidation, operational and supply chain efficiencies, and other reductions in (selling, general and administrative expenses) expenses.”

The cannabis producer has announced facility closures and other reductions in costs as it attempts to reach a positive flow in its finances. This trend has affected most of the bigger cannabis firms in Canada.

Calgary-based Sundial Growers (NASDAQ:SNDL) told shareholders it plans to buy the assets of Zenabis Group, which recently filed for protection under the Companies' Creditors Arrangement Act.

Among the assets Sundial is pursuing are an indoor facility in New Brunswick and other facilities that are currently decommissioned.

“The (New Brunswick) facility received EU GMP certification, providing a license to the facility to export internationally to Israel, Malta, the United Kingdom, and the EU,” Sundial said.

According to financial documents from cannabis firm HEXO (NASDAQ:HEXO,TSX:HEXO), which owns Zenabis, Zenabis was responsible for C$11.1 million in net revenue during its latest fiscal quarter.

"We are committed to creating continuity for the Zenabis Group's operations and employees and assisting Zenabis in good faith with its restructuring,” Sundial CEO Zach George said. “This process has just begun, and we will provide more information as it becomes available."
